Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of SetFlow, the production platform available at setflow.ca and app.setflow.ca (the “Service”). By creating an account or using the Service, you agree to these Terms. If you are using SetFlow on behalf of a studio or company, you agree on its behalf and confirm you have the authority to do so.

Your account

You must provide accurate information when you register and keep it up to date. You are responsible for your account credentials and for all activity that happens under your account. Tell us promptly if you suspect unauthorized access. You must be at least the age of majority in your jurisdiction to use SetFlow.

Plans, billing, and cancellation

• Paid plans are billed in advance on a monthly or annual basis depending on the plan you choose. Annual plans are billed once per year.
• You can change plans anytime. Upgrades apply immediately with prorated billing; downgrades and cancellations take effect at the end of the current billing period.
• There are no contracts and no exit fees. Fees already paid are non-refundable except where required by law.
• We may change our prices; if we do, we will give you reasonable notice before the change applies to your plan.

Payments

Subscription payments and any client payments you collect through SetFlow are processed by Stripe. By using these features you also agree to Stripe’s terms. You are responsible for the accuracy of the invoices, estimates, and payment requests you send to your clients, and for any taxes that apply to your business. SetFlow is a tool for managing these transactions; it is not a party to the agreements between you and your clients.

Your Content

You retain all rights to the projects, media, documents, and other content you create or upload to SetFlow (“Your Content”). We do not claim ownership of it. You grant us only the limited license needed to host, process, and display Your Content so we can provide the Service to you: for example, storing your files, generating shareable galleries, and rendering contracts and invoices.

You are responsible for ensuring you have the rights to the content you upload and to share it with the clients and collaborators you invite. You can export Your Content at any time, and you can delete it from the Service.

Acceptable use

You agree not to:

• Use the Service for anything unlawful, or to store or share content that is illegal, infringing, or violates the rights of others.
• Attempt to access another studio’s data, probe or breach our security, or disrupt the integrity or performance of the Service.
• Reverse engineer, resell, or copy the Service except as permitted by law.
• Upload malware or use the Service to send spam or otherwise abuse your clients or collaborators.

Availability and changes

We work to keep SetFlow reliable, but the Service is provided on an “as is” and “as available” basis. We may add, change, or remove features over time, and we may perform maintenance that temporarily limits availability. We will make reasonable efforts to minimize disruption.

Suspension and termination

You may stop using SetFlow and close your account at any time. We may suspend or terminate access if you breach these Terms, fail to pay amounts due, or use the Service in a way that risks harm to others or to the platform. On termination, your right to use the Service ends; you can export Your Content before your account is closed, and we will handle remaining data as described in our Privacy Policy.

Disclaimers and limitation of liability

To the fullest extent permitted by law, SetFlow disclaims all implied warranties, including merchantability and fitness for a particular purpose. We are not liable for indirect, incidental, or consequential damages, or for lost profits or lost data. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim arose.

Changes to these Terms

We may update these Terms as the Service evolves. When we make material changes, we will update the date above and, where appropriate, notify you in the app or by email. Continued use of SetFlow after an update means you accept the revised Terms.
